Learning Objectives
The aim of the course is to provide students with an in-depth knowledge of commercial law in its various forms.
In the educational path, particular attention will be paid to the acquisition, by the students, of an adequate legal language and of the knowledge of the laws on the matter. At the end of the course students are expected to be able to master the matter, having achieved the ability to identify the underlying economic interests and also the exact cost/benefit ratios.

At the end of the lessons, students are expected
- to have knowledge and understanding in a post-secondary level field of study and to be at a level which, characterized by the use of advanced textbooks, also includes knowledge of some cutting-edge topics in their field of study;
- to be able to apply their knowledge and understanding in order to demonstrate a professional approach to their work, and to have adequate skills both to devise and support arguments and to solve problems in their field of study;
- to have the ability to collect and interpret data (in their field of study) deemed useful for determining autonomous judgments, including reflection on related social, scientific or ethical issues;
- to be able to communicate information, ideas, problems and solutions to specialist and non-specialist interlocutors;
- to have developed learning skills which are necessary for them to undertake further studies with a high degree of autonomy.
Teaching Material

Supporting Activities
A workshop on "Methods and techniques of creative thinking for solving legal problems" shall be activated.
During the course, attending students will also have the opportunity to access self-assessment tests with possible partial exemptions.
Teaching, Attendance, Course Books and Assessment
- Teaching
The course will take place through lectures, with the help of the material placed on the following platform: http://blended.uniurb.it
In compliance with current regulations, two-thirds of the lessons will be held in person and one-third online.
- Innovative teaching methods
During the lessons, debate methodologies and case law analysis may be used.
- Attendance
The status of attending students is recognized to those who have attended at least 2/3 of the lessons
- Course books
Students must study the following manual:
- Gian Franco Campobasso, Manuale di diritto commerciale, Eighth edition edited by Mario Campobasso, Utet giuridica, 2022, parts I, II (except chapter 26), IV and V.
The study of the manual should be accompanied by the consultation of the civil code in an updated edition.
- Assessment
The evaluation criteria and the scale of marks are as follows:
• less than 18: competence level insufficient. The student doesn’t reach the learning results
described in “knowledge and understanding”;
• 18-20: competence level sufficient. The student attains the learning results described in
“knowledge and understanding”;
• 21-23: competence level satisfactory. The student attains the learning results described in
“knowledge and understanding” and in “applied knowledge and understanding”;
• 24-26: competence level good. The student attains the learning results described in “knowledge
and understanding”, “applied knowledge and understanding” and “making judgments”;
• 27-29: competence level very good. The student attains the learning results described in
“knowledge and understanding”, “applied knowledge and understanding”, “making judgments”
and “communication skills”;
• 30-30 with honours: competence level excellent. The student fully attains the learning results
described in “knowledge and understanding”, “applied knowledge and understanding”, “making
judgments” and “learning skills”In particular circumstances, the teacher may provide for the exam to take place in writing. The modalities of the written exam will be as indicated below. The written test will consist of 30 multiple choice questions (which must be solved in 30 minutes) and which concern the acquisition of the fundamental notions of each part of the program.
The multiple choice questions will award a score of 1 point for each correct answer and zero points for each omitted or incorrect answer. By answering the multiple choice questions, students will have to demonstrate their knowledge of the institutes and related discipline.
During the course, attending students will also have the opportunity to access self-assessment tests with possible partial exemptions.
During the exam, the attending student will have to take, in order to ascertain the ability to resolve concrete legal issues, a further part of the test in oral form, consisting in the exposition of a jurisprudential case among those dealt with in class and freely chosen by the student among the material provided by the teacher. In particular, the student must demonstrate that he is able to correctly identify and analyze the terms of the question and to argue adequately. The relative answer will be assigned a maximum of three points (1 = sufficient, 2 = good, 3 = excellent) for argumentative and applicative skills, subject to the limit of an overall maximum score of 30/30.

- Assessment
The method of evaluating students consists of an oral exam on all the topics covered by the program.
The knowledge of the legal institutes relating to the matter, the ability to explain the various topics and the ability to recognize the interests underlying the law in force will be assessed.
It will also be assessed if the information learned is sufficient and if the ability to highlight problematic aspects of the law in force has been developed.
